What Is an Accredited Investor?

Accredited Investor has the meaning ascribed to it under Section 4A(1)(a) of the Securities and Futures Act 2001 (Cap. 289) of Singapore.

Under the SFA, an individual qualifies as an Accredited Investor if he or she satisfies any one of the following criteria:

  • net personal assets exceeding SGD 2 million(or its equivalent in a foreign currency), of which no more than SGD 1 million may be attributable to the net value of the individual’s primary residence;
  • net financial assets exceeding SGD1million (or its equivalent in a foreign currency); or
  • income in the preceding 12 months of not less than SGD 300,000 (or its equivalent in a foreign currency).

A corporation qualifies as an Accredited Investor if it has net assets exceeding SGD 10 million (or its equivalent in a foreign currency), determined by its most recent audited balance sheet.

Why Does This Restriction Exist?

Investment products and strategies offered by firms like Gallium Investment are typically designed for sophisticated investors who have the financial resources, knowledge, and risk tolerance to evaluate complex investment opportunities independently.

Under Singapore’s regulatory framework, certain investment products may only be offered to Accredited Investors. This framework is set out in the Securities and Futures Act 2001, which allows financial institutions to offer certain investment opportunities without the full regulatory requirements that apply to retail investors.

These requirements are intended to ensure that complex or higher-risk investment strategies are offered only to investors who are better positioned to understand and bear the associated risks, while maintaining stronger protections for retail investors.
